Our HARVARD ENTREPRENEURS' BREAKFAST is an informal opportunity on the first Friday of every month for Harvard Alumni to meet, drink some joe, connect, and share ideas and opportunities.
March's topic will be Start Up Boards, led by Jean-Rene (JR) Gougelet (HBS '00). He'll lead us through key questions.
- When do you need a board?
- How many members?
- How should they be selected? What sorts of skills/backgrounds should they bring? Do they represent particular constituencies?
- How often should the Board meet?
- Does the Board need D&O (Directors and Officers) insurance?
- Do you need committees - compensation? audit?
- Should they be expected to help raise financing?
- How should they be compensated?
- Under what circumstances should they be removed?
- What's the role of the board vs. advisory board
- "Nose in, fingers out" (Public Company Boards should develop a good understanding of the corporation, its strategy, culture, plans, policies, people, personalities, culture and competition - the nose in; let management execute the plans without direct interference - the fingers out). Do startup Boards play the same role?
